Annual returns is mandatory for incorporated companies. It separately provides annual renewal for business-name registrations and incorporated partnerships.

1. What Is Business Registration?

Business registration is the first step. You apply to the ORC under the structure that fits the venture, such as a business name owned by one person or a private company limited by shares.

Registration is just the beginning, It doesn't mean that once it's done, your business is in good satnding forever. You will need to renew every year to keep your business in the Registrar Generals's books.

Receiving a certificate does not remove annual obligations, tax obligations or licences that may apply to your activity.

2. What Is Annual Renewal?

Annual renewal is the process used to renew a registered business name or incorporated partnership.

If you trade under a sole-proprietor business name, this is the recurring ORC process you should normally expect.

Owners can file annual renewal without an app by dialling *222#. Follow the following steps:

  1. Dial *222# and choose ORC.
  2. Enter the business registration number.
  3. Choose File Annual Renewal.
  4. Check the filing history and outstanding amount.
  5. Use the transaction ID sent by SMS to pay, or pay through Ghana.gov.

Keep the receipt or electronic confirmation with the business records. It may be useful when you need to show that the registration is current.

3. What Are Annual Returns?

An annual return is a statutory filing for an incorporated company. It is not a new application to incorporate the company and it is not the same process as renewing a sole-proprietor business name.

The ORC's annual-returns guidance lists supporting requirements that include financial statements and an auditor's report. Ask the company secretary, accountant or ORC which documents apply to your company before filing.

Under section 126 of Ghana's Companies Act, 2019 (Act 992), a company does not have to file an annual return in the year it is incorporated or the following year if its first return is made within 18 months after incorporation. After that, the Act requires a return at least once every year, with no more than 15 months between returns.

Do not calculate a deadline from a blog post alone. Check the company's incorporation date and filing history, then confirm the due date with the ORC or a qualified professional.

Filing with one institution does not automatically complete the filing required by the other. The GRA says taxpayers can file returns through its Taxpayers' Portal or app. Ask the GRA or a tax professional which tax returns and deadlines apply to your business.
